The Chair of Trustees provides strategic leadership to the board, ensuring it governs the charity effectively, complies with legal duties, and holds the Senior Managers to account. Acting as a critical “first among equals,” the Chair steers the organization’s mission, builds board consensus, and serves as an ambassador.
Board Leadership & Governance
- Strategic Direction: Lead the board in setting the long-term vision, strategy, and objectives.
- Effective Meetings: Plan agendas and chair trustee meetings to ensure decisions are made collectively, democratically, and recorded properly.
- Skills Audit & Recruitment: Identify gaps in the board’s diversity and skillset, leading on the recruitment and induction of new trustees.
- Trustee Appraisals: Conduct regular one-to-one reviews with trustees to evaluate performance and encourage ongoing development.
There are many more skills required to oversee the running of 5 Charity Shops and a Veterinary Practice with a total staff of 40 and £1.5m pa turnover.

Charity Chair of Trustees Responsibilities:

1. Board Leadership & Governance
- Strategic Direction: Lead the board in setting the long-term vision, strategy, and objectives.

2. Executive Oversight & Support
- Line Manage the Senior Managers: Act as the primary line manager for the Chief Executive, setting annual objectives and leading formal appraisals.
- Constructive Challenge: Balance support and positive challenge, acting as a sounding board for senior leadership while holding them accountable for operational delivery.
3. Representation & Ambassadorial Duties
- Public Figurehead: Represent the charity to key stakeholders, funding bodies, regulators, and the press.
- Stakeholder Relations: Foster strong relationships between staff, volunteers, beneficiaries, and external partners.
4. Compliance & Risk Management
- Legal Duty: Ensure the organization complies with Charity Commission.

- Ensure trustee awareness and compliance with legal and regulatory requirements, including.

- Ensure that the trustee board annually reviews its structure, effectiveness, delegations and key policies, and implements agreed changes, as necessary.
- Liaising with the Secretary to arrange meetings and set agendas and chairing meetings to ensure these are well run and focussed on delivering the charity’s work.
